1. Welcome to DashSharing

DashSharing ("we," "our," or "us") operates a program that provides eligible individuals ("Members," "you," or "your") with a license to use a smart electric vehicle (EV) charger at their residence. These Terms of Service ("Terms") govern your participation in the DashSharing Program (the "Program"), including your access to and use of our website, mobile applications, and related services (collectively, the "Service").

By applying to become a Member, creating an account, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not participate in the Program or use our Service.

Please read this document carefully—it affects your legal rights and contains important information about your obligations, including the resolution of disputes through arbitration rather than court proceedings.

2. Service Overview

DashSharing provides a technology platform that enables the DashSharing Program. Through the Program, approved Members receive a limited, revocable, non‑transferable license to use DashSharing Charger(s) (the "Charger") at their residential address.

The Charger is network‑connected, allowing DashSharing to collect charging data (including kWh usage, timestamps, and charger ID). This data is used to:

  • Calculate and distribute cash earnings to Members based on a tiered structure.
  • Participate in government‑sponsored clean energy initiatives that generate revenue to fund the Program.

The Program is strictly for private, personal use. The Charger may only be used by you as the Member for charging your own electric vehicle. Public or commercial use is expressly prohibited.

3. Account Registration and Security

3.1 Creating an Account
To apply for the Program, you must register for a DashSharing account and complete the official application form. You agree to provide accurate, current, and complete information during registration and to update such information promptly to keep it accurate.

3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other breach of security.

4. Key Definitions

  • Charger: The DashSharing smart electric vehicle charging unit provided to you under a license agreement.
  • Member (or "you"): An individual whose application has been accepted into the DashSharing Program.
  • Program: The DashSharing Program, as described in these Terms.
  • Security Deposit: The refundable deposit paid upon enrollment, the amount of which depends on your chosen Member tier (Standard: $450; Ultra: $599).
  • Earnings: The cash payments you accumulate within the Program for each eligible personal charging session, based on your current tiered earning rate.
  • Cumulative Lifetime kWh: The total kilowatt‑hours delivered by your specific Charger since its initial activation on the DashSharing network, used to determine your earning tier and rate.
  • Site Authorization: The legal document you must sign to grant DashSharing all rights to install, access, maintain, and remove the Charger at your property.

5. Becoming a Member: Enrollment and Eligibility

5.1 Eligibility Requirements
To be eligible to apply for the Program, you must:

  • Be at least 18 years of age.
  • Complete the official application form and provide all requested information, including a signed Site Authorization.
  • Reside in Canada. The Charger must be installed and operated exclusively within Canada.

5.2 Application and Acceptance
DashSharing reserves the right, in its sole discretion, to accept or reject any application without providing a reason. You will be notified of the decision on your application.

5.3 Enrollment and Deposit
Upon acceptance into the Program, you must pay a refundable security deposit. The deposit amount depends on your chosen member tier:

  • Standard Tier: $450 deposit (Starting earning rate: $0.05/kWh)
  • Ultra Tier: $599 deposit (Starting earning rate: $0.06/kWh)

You are also responsible for all shipping and handling charges associated with receiving the Charger.

6. Equipment License, Ownership, and Installation

6.1 License and Ownership
Upon acceptance and payment of your deposit, DashSharing grants you a limited, revocable, non‑transferable license to use one (1) DashSharing Charger at the residential address specified in your application.

Title to the Charger and all associated intellectual property remains exclusively with DashSharing. You acquire no ownership interest.

Environmental Attributes: DashSharing retains all rights to any environmental attributes, carbon credits, offsets, or similar tradable instruments arising from the Charger's operation. You agree to cooperate in documenting and transferring these attributes.

6.2 Mandatory Professional Installation
The Charger must be installed by a licensed electrician in compliance with all applicable electrical codes and local regulations. You are solely responsible for arranging and paying for this installation.

DashSharing assumes no liability for the installation, including any damage to property or injury arising from improper installation.
You agree to indemnify DashSharing against any claims related to the installation or condition of your premises.

6.3 Site Authorization
Before registering to join the Member Program, you must ensure that the property owner completes and returns the Site Authorization. This document grants DashSharing the direct and irrevocable right to install, access, maintain, and remove the Charger at the specified property.

The Site Authorization must be signed by the property owner.

This grant of access is a fundamental condition of your participation in the Program. DashSharing relies on this authorization to exercise its rights as the holder of the installation rights.

Failure to provide a completed and signed Site Authorization, or failure to provide any requested documentation evidencing the signer's authority within five (5) business days of a request, constitutes a material breach of these Terms.

7. Operational Obligations and Requirements

7.1 Active Personal Use Requirement
The Charger is provided for your bona fide personal use as a primary charging device for your electric vehicle. You may not store, resell, or use the Charger for non‑operational purposes. DashSharing monitors charging activity and may terminate your participation if energy transfer over a reasonable period is insufficient to demonstrate active use.

7.2 Continuous Wi‑Fi Connectivity
The Charger must remain continuously connected to a Wi‑Fi network.
If connectivity is lost, the Charger will permit no more than five (5) additional charging sessions before disabling further use until the connection is restored.
Earnings are credited only when session data is successfully transmitted to DashSharing's systems. Sessions lost due to Wi‑Fi outages or other technical issues will not be reconstructed or credited.

7.3 Geographic Restriction
All charging must occur within Canada. Use outside Canada is a violation of these Terms and may result in immediate termination and legal action.

7.4 Audits and Inspections
DashSharing or its agents may conduct reasonable audits to verify compliance, including confirming the Charger's location and that it remains at the address listed in your application. You agree to cooperate with such audits.

8. Earnings

8.1 How You Earn
You begin earning cash once your refundable security deposit has been returned to you. From that point forward, you will earn money for each eligible personal charging session based on the energy consumed (kWh). The more you charge, the more you earn. Your per‑kWh rate automatically increases as your charger's total lifetime charging goes up.

Starting Rate & Progression:
Your starting rate is determined by your member tier: $0.05/kWh for Standard and $0.06/kWh for Ultra. You will begin earning at this rate immediately after your deposit is refunded. For every additional 5,000 kWh of energy charged by your specific unit, your rate will increase by $0.01/kWh, moving you up through the levels until you reach the maximum rate of $0.10/kWh (Ultimate Tier).

If a charging session crosses a tier threshold, the entire session is compensated at the rate in effect when the session began. Earnings are calculated prospectively only.

8.2 Withdrawing Your Earnings
You may withdraw accrued earnings once your available balance reaches $100. Withdrawals are initiated through the Member Dashboard and paid by electronic funds transfer (EFT). You must enroll in direct deposit to receive payments. All payments are processed on the 1st of every month via a scheduled bank transfer. DashSharing is not liable for delays caused by financial institutions or third‑party processors.

8.3 Data Collection for Environmental Programs
By participating, you consent to DashSharing collecting and sharing your charging data (including kWh usage, timestamps, and charger ID) with government agencies and other partners for the purpose of supporting clean energy initiatives and generating program revenue. DashSharing will anonymize data where practicable but cannot guarantee absolute anonymity.

9. Deposits, Fees, and Payments

9.1 Deposit Refund
Your security deposit will be refunded, less any deductions for damage beyond normal wear and tear, once both of the following conditions are met:
(a) The Charger has reached 2,500 kWh of cumulative charging, as verified by DashSharing's systems; and
(b) You have fulfilled all initial obligations under these Terms, including delivery of a signed Site Authorization.

9.2 Damage, Loss, or Theft
If the Charger is lost, stolen, or damaged while in your custody, you bear full responsibility for its replacement value.

9.3 Program Fees
No monthly fees are currently charged for participation in the DashSharing Program. However, DashSharing reserves the right to introduce monthly or other recurring fees in the future. If we decide to introduce such fees, we will provide you with at least thirty (30) days' prior notice. Your continued participation in the Program after the effective date of the new fees will constitute your acceptance of such fees.

10. Warranty and Support

Active members in good standing receive lifetime warranty coverage and technical support for the Charger. If a warranty claim is approved, DashSharing will replace the Charger at no cost, including reconnection services at your premises.

11. Termination and Equipment Return

Your participation in the Program may be terminated by either party at any time, with or without cause. Upon termination:

  • You must return the Charger to DashSharing within fourteen (14) days, in good condition (normal wear and tear excepted). Return shipping instructions will be provided.
  • Failure to return the Charger may result in a replacement fee equal to its retail value, and DashSharing may pursue all legal remedies to recover its property.
  • Any accrued earnings that have reached the $100 minimum threshold will be paid in accordance with Section 8.2.

12. Limitation of Liability

To the maximum extent permitted by law, DashSharing shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, arising from your participation in the Program. DashSharing's total liability to you is limited to the total amount of cash earnings actually paid to you under the Program. This limitation does not apply to liability resulting from DashSharing's gross negligence, willful misconduct, or for death or bodily injury.

13. General Provisions

13.1 Household Participation Limit
A single household may receive complimentary charging equipment for up to three (3) Chargers under the Program. DashSharing reserves the right to verify household eligibility.

13.2 No Resale or Export
You represent and warrant that your participation is for personal use only, and that you will not resell, export, or use the Charger outside Canada.

13.3 Assignment
You may not assign your rights or delegate your obligations under these Terms without DashSharing's prior written consent.

13.4 No Waiver
DashSharing's failure to enforce any provision does not constitute a waiver of that provision.

13.5 No Third‑Party Beneficiaries
These Terms are for the sole benefit of you and DashSharing and confer no rights on any third party.

13.6 Notices
Notices to you may be sent to your email address on file or posted on the DashSharing website. Notices to DashSharing must be sent to: DashSharing, Unit 706, 1110 Finch Ave W., North York, ON M3J 2T2, or by email to info@dashsharing.ca.

13.7 Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13.8 Entire Agreement
These Terms, together with the Site Authorization, the DashSharing Privacy Policy, and any order confirmations, constitute the entire agreement between you and DashSharing.

14. Additional Terms for Quebec Residents

For residents of the Province of Quebec, the following provisions apply notwithstanding any other term in this agreement:

(a) Language: The parties hereto have expressly requested that these Terms and all related documents be drafted in English. / Les parties aux présentes ont expressément exigé que la présente convention et tous les documents qui s'y rapportent soient rédigés en anglais.

15. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

16. Dispute Resolution and Arbitration

Any dispute arising out of or relating to these Terms or your participation in the Program shall be resolved exclusively by binding arbitration in accordance with the laws of Ontario. The arbitrator shall have sole authority to determine the arbitrability of any dispute. Judgment on the arbitration award may be entered in any court having jurisdiction. If any part of this arbitration clause is found unenforceable, the remainder shall remain in effect.
